ParentHood360 Pty Ltd A.C.N 639494616 is a membership programme (“Programme”). By participating in the Programme, you agree that you have read and understood these Terms and Conditions and are bound by them. You consent to ParentHood360 collecting, using and disclosure of your personal and company information in accordance with the separate ParentHood360 Privacy Policy.

Defined Terms

 

Activation Date: The commencement date for a ParentHood360 merchant listing by adding of an agreed listing with either Crèche Credits or Parent Promo’s. 

Merchant: A partner merchant that provides offers to the ParentHood360 Community in the form of Crèche Credits or Parent Promo’s and honours the associated Offers. 

Offer: Those featured on the platform that provide members with access to discounts. Most often in the form of a parent promo or crèche credit. 

Other Offers: Other promotions and special Offers which may be offered by participating merchants from time to time at their discretion. 

Member, Members or Membership: A person who holds a current an active ParentHood360 membership (free or paid).

Crèche Credit: A discount, special offer or promotion that is exclusive only for ParentHood360 members who have a child in the Crèche at the time of validation.

Parent Promo: A discount, special offer or promotion that is exclusive only for ParentHood360 members. 

Listing: We have three types of listings merchants can take advantage of; Free, Essential and Rockstar. 

Redemption Receipt: Is where the ParentHood360 Parent Member will provide a copy of a crèche receipt to validate and unlock the crèche credit agreed by the participating merchants at time of crèche use. 

1. Joining ParentHood360 as a participating merchant

When registering as a member of the ParentHood360 website, you are responsible for providing accurate and up-to-date information. Should your listing information change it is your responsibility to inform us of any changes to that information. You may do this at any time by accessing your Listing page on the relevant Parent Hood360 website or by contacting us at hq@parenthood360.com.au

a) You can submit a listing online at parenthood360.com.au, which will be reviewed by our HQ team and is subject to approval.

b) Selection of listing type is required.

c) We require a minimum of 3 months sign up for all listing type

d) If you are part of a Stockland Retailer Programme then you will be automatically placed on a Rockstar Listing, with no charges for the defined period of the pilot.

e) You can amend and update your offer throughout this period, which will be subject to approval by ParentHood360 management team. 

f) All agreed crèche credits and parent promo’s must be honoured and require one month’s notice to amend the offer content with replacement of another offer.

g) One-month notification is required to cancel any listing.

h) Paid listings will be charged via direct debit on a monthly basis.  

2. Customer Redemption of Merchant Offer

Customers can view the full range of ParentHood360 service providers, crèche credit and parent promos online. 

3. Crèche Credits

a) ParentHood360 customers can only unlock participating merchant crèche credits offers at the time their child is using our Hood Crèche. b) A receipt will be provided with the date and time of the child’s attendance at the Hood Crèche and this is what is used to redeem your c) Only within this time period will your merchant offer be valid.

d) It is only valid for the named guardian of the child utilising the Hood Crèche.

e) If you provide an exclusive offer aka crèche credit you must honour this offer

f) For the entire duration of this agreement, and for one year after listing has been removed or agreement has been terminated, the Merchant will not offer any exclusive discounts or offers that can be redeemed or credited to in-centre childcare or any in-centre retailers associated with childcare.

4. Parent Promo’s

 a) Some participating merchants may want to offer parent promo’s, which are different to crèche credits to entice parents at times when their child is not in the crèche, or in instances where crèche services are not available.

b) These parent promo’s must be exclusive offers available only to ParentHood360 community members.

5. Marketing, Promotions and Personal Information

a) By participating as a merchant you grant us authority to advertise and promote your listing and offers across all of our marketing and advertising platforms.

b) You consent to, receiving marketing communications. It is the responsibility of the merchant to set their own communication preferences by advising HQ if they wish to receive/ not receive or by selecting to opt-out of receiving email communications by selecting unsubscribe on the email footers. Members are responsible for keeping the information in their account and listing up to date.

6. Agreement

a) By using and accessing the ParentHood360 website, you agree to be bound by these terms and conditions, as well as all disclaimers, notices, privacy policy displayed elsewhere on the ParentHood360 website or social media pages relating to your use of the ParentHood360 website.

b) We reserve the right to amend and change these Terms at any time. At such time, an amended version of the Terms will be posted on the ParentHood360 website.  It is your responsibility to ensure you regularly review the Terms and your continued use of the ParentHood360 website after any changes are made to the ParentHood360 Terms will be deemed to constitute your acceptance of those changes.

c) If you object to any changes to the ParentHood360 Terms, or otherwise become dissatisfied with your membership of the ParentHood360 website you can either:

(i) discontinue your use of the ParentHood360 website; and/or

(ii) terminate your membership in accordance with the ParentHood360 Terms.

7. Paid Listings

Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a weekly, monthly basis or annually, depending on the type of subscription plan you select.

a) At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or ParentHood360 cancels it. You may cancel your Subscription renewal by contacting ParentHood360 customer support team.

b) A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide ParentHood360 with accurate and complete billing information including full name, address, state, postcode, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorise ParentHood360 to charge all Subscription fees incurred through your account to any such payment instruments.

c) Should automatic billing fail to occur for any reason, ParentHood360 will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

d) When registering as a member of the ParentHood360 website, you are responsible for providing accurate and up-to-date information. Should your listing information change it is your responsibility to inform us of any changes to that information. You may do this at any time by accessing your Listing page on the relevant ParentHood360 website or by contacting us athq@parenthood360.com.au 

e) If you do not opt-out your subscription membership it will automatically renew at the end of term period for the same previously signed duration and amount.

f) In the event that you do not opt-out of your auto-renewal or cancelled your membership any amounts deducted are non-refundable and any payments due (or outstanding) will become due immediately.

g) ParentHood360 does not provide refunds in the event that you have changed your mind.

8. Fee Changes

a) ParentHood360, in its sole discretion and at any time, may modify the Subscription/membership fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

b) ParentHood360 will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

c) Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

9. Payments by Credit Card

Credit card surcharges will apply when paying by credit card. 

10. Listing Accounts

a) When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

b) You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

c) You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

d) You are to advise ParentHood360 immediately if you have any objections or complaints to any content or material, including but not limited to user messages/reviews posted onwww.parenthood360.com.auwebsite. Please notify us immediately if it is believed that any content or material posted onwww.parenthood360.com.au website infringes on any copyright.

11. Links To Other Web Sites

a) Our Service may contain links to third party web sites or services that are not owned or controlled by Parent Hood 360.

b) ParentHood360 has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

c) You acknowledge and agree that ParentHood360 shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.

12. Privacy

ParentHood360 and its respective officers, agents, employees and related bodies corporate (collectively, “we” or “our”) are committed to protecting your privacy. We collect your personal information for the following purposes to:

a) Set up and administer the Programme including ongoing management of Accounts, 

b) Allow Members to participate in promotions and competitions;

c) Communicate with Members, to deliver e-newsletters, surveys and SMS communications;

* Understand Member needs and preferences, and to provide Members with products and services that meet their needs or interests;

* Recommend our products and services, or the products and services of third parties we select that may be of interest to Members;

* Provide Members with special offers and rewards from ParentHood360 and our sponsors and reward partners.

* Facilitate or enable any corporate or commercial transaction involving ParentHood360

c) ParentHood360 will obtain consent before using personal information for a purpose that has not been specified, unless the new purpose is required by law. See ParentHood360 Privacy Policy for further details. ParentHood360 may share aggregated and anonymised Member data with third parties so long as that aggregated and anonymised Member data cannot be reasonably traced back to an individual. Member information is considered a ParentHood360 asset. 

13. Suspension or Termination of Membership

a) By providing written notice to us you may terminate your membership to the ParentHood360 website for any reason. You can provide notice of termination by:

(i) Going to Account settings selecting ‘cancel account’ and following the instructions; or

(ii) emailing us via the Contact Us page; or

(iii) mailing it to our postal address listed on the Contact Us page

b) We reserve the right to, without limitation, do any or all of the following in relation to your membership:

(i) suspend your membership;
(ii) modify your member profile; 
(iii) permanently or temporarily hide all or part of your member profile;
(iv) terminate your membership for any reason by providing notice to you by email;
(v) terminate your membership immediately without notice to you if you have committed a breach of the ParentHood360 Terms;
(vi) permanently or temporarily block your access to all or part of the ParentHood360 website.

14. Indemnification

You agree to defend, indemnify and hold harmless Parent Hood 360, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of;

a) your use and access of the Service, by you or any person using your account and password;

b) a breach of these Terms, or

c) Content posted on the Service.

You agree to be fully responsible for (and fully indemnify us against) all claims, liability, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of any breach of the terms by you or any other liabilities incurred by us arising out of your use of the website (including without limitation, in relation to User Submissions), or use by any other person accessing the website using your pc or internet access account.

15. Limitation Of Liability

a) You acknowledge that you use the ParentHood360 website at your own risk.

b) You acknowledge that we are not responsible for, and accept no liability in relation to, your use of and conduct in connection with the Parent Hood360, or any other members’ use of or conduct in connection with the Parent Hood360.

c) You agree to indemnify us for any loss, damage, cost or expense that we may suffer or incur as a direct or indirect result of or in connection with your use of or conduct in connection with the ParentHood360 websites, including any breach by you of the ParentHood360 Terms and from any Content or User Content you post.

d) To the maximum extent permitted by law, we exclude all implied representations and warranties which, but for the ParentHood360 Terms, might apply in relation to your use of the ParentHood360 website. In particular, we do not make any representations or warranties that the ParentHood360 website will be uninterrupted or error free. Nor do we make any representation or warranty about the likelihood of any outcomes of your use of the ParentHood360 website.

e) To the extent that our liability cannot be excluded by law, our maximum liability to you will be limited to the total amount paid by you (if any) for any chargeable service or feature on the ParentHood360 website purchased by you during the term of your membership.

f) In no circumstances will we be liable for any indirect, punitive or consequential loss or damages; loss of income, profits, goodwill, data, contracts, use of money; or loss or damages arising from or in any way connected to business interruption of any type, whether in tort, contract or otherwise.

g) By posting User Content you agree to indemnify and keep indemnified Parent Hood 360, its officers, employees and agents against all claims, suits, actions, liabilities, actual or contingent costs, damages and expenses incurred by ParentHood360 in connection with any User Content. ParentHood360 makes no representations or warranties of any kind, express or implied as to the operation of the Website or User Content.

16. Intellectual Property, Software and Confidentiality

ParentHood360 retains copyright and all other intellectual property rights in:

(a) all code, material, data, know-how and anything else generated, in course of providing (directly or indirectly) the products or services; and

(b) all intellectual property rights (whether comprised within the ParentHood360 booking engine, portal, software, HTML code or otherwise) existing prior to the provision of the Services.

(c) When you access the ParentHood360 site, you are using software which is owned by or licensed to ParentHood360 and ParentHood360 thereby grants you a personal non-exclusive license to use the software associated with the ParentHood360 site for the duration of your site visit and for the sole purpose of making enquiries and bookings. Any other use, commercial or otherwise, of the software or information on the site without the express written permission of ParentHood360 is strictly prohibited, including any reproduction, data extraction processing or otherwise. You must not disassemble, decompile, reverse engineer the whole or any part of the software accessed by means of the Service

17. Governing Law

These Terms shall be governed and construed and interpreted in accordance with the laws of each state, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

18. Termination, Changes and Breach

a) We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever.

b) ParentHood360 reserve the right to change any aspect of the Programme including redemption procedures or any Offers in any respect, all without notice and even though changes may affect the value of ParentHood360 Memberships already purchased. Where ParentHood360 changes these Terms and Conditions, or any Offers under the Programme, an updated copy of these Terms and Conditions will be available on the ParentHood360 website.

c) You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these terms and conditions may also be superseded by provisions or notices published elsewhere on our site. By continuing to use the Services, you agree to be bound by such revisions and changes.
